These Terms of Use ("Terms") govern your access to and use of the Westpoint Capital LLC ("Westpoint Capital," "we," "us") broker onboarding application (the "Site"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

1. Eligibility and Invitation-Only Access

The Site is intended solely for business use by mortgage brokers and other professionals invited by Westpoint Capital. Application submission requires a valid, personal invitation link. You may not share, transfer, or attempt to circumvent invitation links.

2. Accuracy of Information

You represent and warrant that all information you submit — including business details, fee structures, and vendor information — is true, accurate, and complete, and that you are authorized to submit it on behalf of the company identified in the application.

3. No Commitment or Offer

Submission of an application does not create a broker relationship, partnership, agency, or joint venture with Westpoint Capital, and does not constitute a commitment to lend, an offer to enter into any transaction, or an approval of any kind. Any relationship, if established, will be governed by a separate written agreement. Westpoint Capital may accept or decline any application in its sole discretion.

4. Acceptable Use

• Do not submit false, misleading, or fraudulent information.
• Do not attempt to gain unauthorized access to the Site, its administration area, or its data.
• Do not use automated means to submit applications or otherwise interfere with the Site's operation.

5. Intellectual Property

The Site and its content, including the Westpoint Capital name, logo, and design, are the property of Westpoint Capital LLC or its licensors and are protected by applicable intellectual property laws. No license is granted except as necessary to use the Site for its intended purpose.

6. Privacy

Your use of the Site is also governed by our Privacy Policy, which describes how we collect and use the information you submit.

7. Disclaimer of Warranties

The Site is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure.

8. Limitation of Liability

To the fullest extent permitted by law, Westpoint Capital LLC and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Site.

9. Changes to These Terms

We may revise these Terms from time to time. The "Last updated" date above reflects the most recent revision. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

10. Governing Law

These Terms are governed by the laws of the state in which Westpoint Capital LLC is organized, without regard to conflict-of-law principles.
